Dear ESA Members,

Pasted below are the by-laws of the ESA. At the annual ESA meeting in
Philadelphia on November 12, we discussed certain changes to be made in
the by-laws. One member suggested we post the by-laws to the
Association over email and then agree upon how the wording should be
changed. Unfortunately the line numbers did not appear on the pasting, but
we are dealing with lines 40 (under Article III) and lines 83-85 (under
Article V). These are marked with ***. Line 40 deals with splitting the
office of Secretary-Treasurer into two positions, one of Secretary and the
other of Treasurer. Lines 83-85 deal with the responsibilities of officers. In
the meeting, we had discussed that the Secretary's responsibility would be
to prepare the newsletters, facilitate communication, and plan events; the
Treasurer would be responsible for maintaining the income and expenses of
the association, and preparing the annual financial report, and the Executive
Editor of the ESR would be responsible for the preparation and publication
of the journal. However, we would like to open up the issue of how to
reword these items of the by-laws to ESA members. Please post any of
your concerns and recommendations to your concerns and recommendations to esa@dehai.org.

By-Laws of the Eritrean Studies Association

Article I:

The name of the Association shall be the Eritrean Studies Association,
hereafter referred to as ESA or the Association.

Article II: Purpose

The Association shall serve scholarly and scientific endeavors to
accomplish the following purposes:

Promote scholarly research on Eritrea and its surrounding regions;

Serve as a forum for scholarly endeavors on Eritrea;

Publish research results and other scholarly information related to Eritrea;

Organize forums and other appropriate media by which to stimulate
knowledge and scientific scholarship about Eritrea.

Article III:

ESA is an association of Eritrean as well as non-Eritrean scholars who have
research and scholarship interests in Eritrea.

The Association shall be an independent entity solely committed to the
pursuit of scholarly and scientific endeavors on Eritrea.

ESA shall have an Executive Committee responsible for the overall policy
direction and execution of the activities of the Association in order to
achieve the purposes outlined in Article II.

*****The Executive Committee shall consist of a President,
Secretary-Treasurer and the Executive Editor, as set forth in section 7
below.

Members of the Executive Committee shall be elected for a term of two
years by the general membership at an annual meeting, with the offices of
the President and Secretary-Treasurer elected in alternate years.

The Association shall have a journal known as Eritrean Studies Review; the
journal shall adhere to high standards of excellence and scholarly work.

The Journal shall have an Executive Editor who shall be a member of the
Executive Committee. The Executive Editor, in consultation with the
President and the Board, can invite guest editors as may be appropriate for
specific issues of the journal.

The Executive Committee is empowered to establish membership dues, to
apply for and receive gifts and grants, and to disburse the Associationšs
resources consistent with purposes of the Association.

The Association may enter into contracts, appoint committees and other
agents, and establish policies as are necessary to meet stated purposes.

Article IV: Membership

Membership is open to individuals who fit the descriptions provided in
Section I, Article III, who subscribe to the purposes of the Association and
pay their dues.

No individual or group shall be denied membership in the Association
because of gender, ethnic, religious or political affiliation, or national origin.

Any individual in good standing is eligible to run for office, and is entitled to
vote and receive all benefits the Association bestows upon its members.

Article V: Officers and Duties

The President shall be the chief Executive Officer of the Association and
shall exercise such executive powers as are necessary to carry out the
activities of the Association. The President shall represent the Association
and act on its behalf in all matters consistent with the Associationšs
purpose.

The Secretary-Treasurer shall assume the duties of the President in the
absence, resignation, incapacitation, or death of the President and shall
perform any other duties as may be assigned by the President.

*****The Secretary-Treasurer shall be responsible for the preparation of
the Associationšs journal, Eritrean Studies Review. The Executive Editor
shall ensure the journalšs standards of excellence and scholarly work.

The term of office of the Executive Committee shall be two years. Officers
may be re-elected.

The Executive Committee as a whole shall meet at least twice a year but the
members shall maintain continuous contact through electronic or written
correspondence.

The President shall prepare and submit an annual report to the membership
at the annual meeting, detailing the Associationšs activities and its financial
status.

Article VI: Dues

Each member shall pay the annual membership dues of the Association as
determined by the Executive Committee. The board may levy additional
fees for specific purposes consistent with the purposes of the Association.

Members in good standing, who have paid the required annual dues, are
entitled to run for office, vote, and exercise other membership privileges.

Failure to pay membership dues can be cause for loss of membership
privileges. Every member, nevertheless, is entitled to due process.
